By accessing or using the Site, or by placing an order, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or purchase from us.

2. Acceptance of Terms

These Terms constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and One Stop Shop Solutions Inc. By browsing the Site, creating an account, or completing a purchase, you confirm that (a) you are at least 18 years of age; (b) you have the legal authority to enter into this agreement; and (c) you agree to comply with and be bound by these Terms. We reserve the right to modify these Terms at any time. Changes take effect upon posting to the Site. Your continued use of the Site following any modification constitutes your acceptance of the revised Terms.

3. Products and Availability

All product listings on the Site are subject to availability. One Stop Shop Solutions Inc makes reasonable efforts to ensure product information, descriptions, specifications, and images are accurate; however, we do not warrant that such information is complete, current, or error-free. Prices and product availability are subject to change without notice. We reserve the right to limit quantities, discontinue products, or refuse any order at our sole discretion.

In the event of a pricing error, typographical mistake, or system error resulting in an incorrect price being displayed, One Stop Shop Solutions Inc reserves the right to cancel any orders placed at the incorrect price. Where payment has been processed, a full refund will be issued promptly.

Product images are for illustrative purposes only. Actual products may differ slightly in appearance. Manufacturer part numbers, specifications, and compatibility details should be verified by the customer prior to purchase.

4. Ordering and Payment

4.1 Order Placement

By submitting an order through the Site, you are making an offer to purchase the selected products at the listed price plus applicable taxes and shipping fees. One Stop Shop Solutions Inc reserves the right to accept or decline any order. An order is only accepted upon receipt of a written or electronic order confirmation from us.

4.2 Accepted Payment Methods

We accept the following payment methods:

Stripe – Credit and debit cards (Visa, MasterCard, American Express, Discover)
PayPal – PayPal account or PayPal Pay Later (subject to PayPal terms)
Square – Credit and debit cards processed via Square

Bank Transfer / ACH / Wire Transfer – Available for qualified business accounts and government purchasers; invoices must be paid within the agreed net terms

All payments are processed in U.S. Dollars (USD). For bank transfers and government purchase orders, payment must be received in full before shipment unless a formal credit agreement is in place. Late payments on net-term accounts may be subject to a finance charge of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is less.

4.3 Sales Tax

Sales tax will be applied in accordance with applicable state and local tax laws based on the customer’s shipping address. One Stop Shop Solutions Inc is incorporated in Delaware, which does not impose a state sales tax. However, tax obligations vary by destination state and the nature of the products sold. 5. Shipping Policy

5.1 Carriers and Methods

One Stop Shop Solutions Inc ships orders using the following carriers, selected based on destination, package weight, dimensions, and availability at the time of fulfillment:

FedEx
UPS (United Parcel Service)
USPS (United States Postal Service)

The carrier and shipping method will be displayed at checkout or confirmed in the order confirmation email.

5.2 Processing and Estimated Transit Times

Orders are generally processed within one (1) to two (2) business days of receipt of payment, subject to product availability. Estimated transit times vary by destination and shipping method selected; most domestic orders arrive within two (2) to seven (7) business days after shipment. These are estimates only — One Stop Shop Solutions Inc does not guarantee delivery by any specific date. Orders are shipped Monday through Friday, excluding U.S. federal holidays.

Note: Estimated delivery windows provided at checkout are carrier estimates and are not contractually guaranteed. We are not liable for delays caused by carrier issues, weather events, natural disasters, customs holds, or any other circumstances beyond our control.

5.3 Shipping Charges

Shipping charges are calculated based on the ship-to address, package weight and dimensions, and the shipping method selected. Charges are displayed at checkout prior to order confirmation. Free shipping promotions, when offered, apply only to the contiguous United States unless otherwise specified.

5.4 International Shipments

At this time, we ship primarily within the United States. Contact us at [email protected] for inquiries about international orders. International customers are solely responsible for all customs duties, import taxes, and brokerage fees.

5.5 Shipping Discrepancies

Upon receipt, it is your responsibility to verify all items against your packing slip or order confirmation. Discrepancies, shortages, or damage must be reported to One Stop Shop Solutions Inc within five (5) business days of delivery by contacting [email protected] or calling +1 (302) 567-4434. Claims reported after this period may not be honored.

If a shipment is returned due to an incorrect address provided by the customer or a failed delivery attempt, the customer will be responsible for any re-shipment fees.

6. Return and Refund Policy

6.1 Return Eligibility

One Stop Shop Solutions Inc accepts returns on most products within thirty (30) calendar days from the date of delivery, provided the following conditions are met:

The item is unused, in its original condition, and in original, undamaged packaging with all original accessories and documentation included.
A Return Merchandise Authorization (RMA) number has been issued prior to return shipment.
The item is not listed as a final sale, special order, or non-returnable product at the time of purchase.

6.2 Obtaining an RMA

To initiate a return, contact One Stop Shop Solutions Inc at [email protected] or +1 (302) 567-4434 with your order number, item(s) to be returned, and the reason for the return. Upon approval, an RMA number will be issued. RMA numbers are valid for fifteen (15) calendar days from the date of issuance and will not be extended or reissued. Returns received without a valid RMA number will be refused and returned to sender at sender’s expense.

6.3 Restocking Fees and Shipping

No restocking fee will be charged for standard returns of items in original, unopened condition. Original outbound shipping charges are non-refundable. Return shipping costs are the responsibility of the customer unless the return is due to a defect, damage caused in transit, or an error on our part, in which case we will provide a prepaid return label.

6.4 Refunds

Upon receipt and inspection of the returned item, refunds will be processed to the original payment method within seven (7) to ten (10) business days. We reserve the right to deny a refund or reduce the refund amount if the product is returned in a condition that differs from the condition described in the return request (e.g., used, damaged, missing components).

6.5 Defective Products and Warranty Claims

If a product is defective upon arrival, please contact us within five (5) business days of delivery. After the 30-day return window, defective products may be eligible for manufacturer warranty service. One Stop Shop Solutions Inc will assist in facilitating manufacturer warranty claims where possible. Warranty terms vary by product and manufacturer; details are typically available on the manufacturer’s website or product documentation.

6.6 Non-Returnable Items

The following items are not eligible for return: opened software licenses or digital downloads, items marked as final sale or clearance at time of purchase, custom-configured or special-order products, and items damaged due to customer misuse or improper installation.

7. Federal Government Procurement

One Stop Shop Solutions Inc is a registered federal government contractor. We are active in the U.S. System for Award Management (SAM) with CAGE Code 9ME14 and UEI QGV1XE1RXLN4. We are able to fulfill orders under applicable federal acquisition regulations (FAR) and may support procurement under GSA schedules, open-market purchases, and other federal contracting vehicles. Government customers with specific procurement requirements (e.g., purchase orders, SF-1449, agency-specific terms) should contact us at [email protected] prior to placing an order to ensure compliance with applicable regulations.

Nothing in these Terms shall be interpreted to conflict with any applicable federal law or regulation governing government procurement. In the event of a conflict, applicable federal law and FAR provisions shall govern with respect to government orders.

8. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, product descriptions, button icons, and software, is the property of One Stop Shop Solutions Inc or its content suppliers and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, transmit, display, publish, modify, create derivative works from, or otherwise exploit any content from the Site without the prior written consent of One Stop Shop Solutions Inc. Third-party product names, logos, and trademarks referenced on the Site remain the property of their respective owners and are used solely for product identification purposes.

9. Prohibited Uses

You agree that you will not use the Site or our services to:

Violate any applicable local, state, federal, or international law or regulation;
Transmit unsolicited commercial communications (spam);
Impersonate any person or entity or misrepresent your affiliation with any person or entity;
Engage in any fraudulent activity, including submitting false orders or payment information;
Attempt to gain unauthorized access to any part of the Site or any system or network connected thereto;
Introduce viruses, malware, or any other malicious code into the Site;
Use any automated means (bots, scrapers, crawlers) to access, harvest, or collect data from the Site without our express written permission;
Purchase products for resale in violation of any export control laws, including U.S. Export Administration Regulations (EAR) and OFAC sanctions;
Interfere with or disrupt the integrity, security, or performance of the Site.

One Stop Shop Solutions Inc reserves the right to suspend or terminate your account and cancel any pending orders if we determine, in our sole discretion, that you have engaged in prohibited conduct.

11. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ONE STOP SHOP SOLUTIONS INC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM ONE STOP SHOP SOLUTIONS INC OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ONE STOP SHOP SOLUTIONS INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF, OR INABILITY TO USE, THE SITE OR OUR PRODUCTS; (B) ANY GOODS, SERVICES, OR INFORMATION OBTAINED THROUGH THE SITE; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (D) ANY OTHER MATTER RELATING TO THESE TERMS — EVEN IF ONE STOP SHOP SOLUTIONS INC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ONE STOP SHOP SOLUTIONS INC’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO ONE STOP SHOP SOLUTIONS INC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY; IN SUCH JURISDICTIONS, LIABILITY SHALL BE LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless One Stop Shop Solutions Inc and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content or information you submit to or through the Site.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms and any dispute arising out of or related to your use of the Site or your purchase of products from One Stop Shop Solutions Inc shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law provisions. Where applicable, federal law of the United States shall also govern, including but not limited to the Federal Arbitration Act.

14.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to contact One Stop Shop Solutions Inc at [email protected] to attempt to resolve the dispute informally. We will make reasonable efforts to resolve any concern within thirty (30) days of receipt of your notice.

14.3 Binding Arbitration

If the dispute cannot be resolved informally, any claim, dispute, or controversy (excluding claims for injunctive or equitable relief) arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in the State of Delaware. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own attorneys’ fees and costs unless the arbitrator determines otherwise.

14.4 Class Action Waiver

YOU AND ONE STOP SHOP SOLUTIONS INC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. By agreeing to these Terms, you waive your right to participate in a class action lawsuit or class-wide arbitration.

14.5 Jurisdiction for Equitable Relief

Notwithstanding the arbitration clause, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in the State of Delaware to prevent irreparable harm pending arbitration.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific products or services, constitute the entire agreement between you and One Stop Shop Solutions Inc regarding the subject matter herein and supersede all prior or contemporaneous agreements, understandings, or representations.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. One Stop Shop Solutions Inc may freely assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

15.5 Force Majeure

One Stop Shop Solutions Inc shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, labor disputes, government actions, carrier delays, or supply chain disruptions.
